Corporate Governance represents the fruit of the legislator's sensitivity to the relationship between ethics and business; it includes everything that is designed to "govern" the life of the company with the intent of ensuring the achievement of corporate targets and sustainable success.
Corporate Governance is defined as "the system aimed at ensuring corporate integrity, thus safeguarding the process of value creation for shareholders and all other stakeholders (investors, employees, suppliers, customers, financial system, social environment, etc.), guaranteeing information transparency, management fairness, effectiveness and efficiency."
In this direction, it is crucial to ensure the possibility of reporting violations of existing codes and policies within the organization. In the Gazzetta Ufficiale No. 63 of March 15, 2023, Legislative Decree No. 24 of March 10, 2023, implementing Directive (EU) 2019/1937 of the European Parliament and of the Council of October 23, 2019, regarding the protection of persons who report breaches of Union law and laying down provisions regarding the protection of persons who report breaches of national laws was published.
This is the regulation on the protection of whistleblowers, i.e., persons who report violations of national or European Union regulatory provisions that harm the public interest or the integrity of the public administration or private entity, of which they have become aware in a public or private employment context.
The protections are extended to all those who report violations of which they have become aware in the context of their work context, as employees or collaborators, subordinate and self-employed workers, freelancers and other categories such as volunteers and trainees including unpaid ones, shareholders and persons with administrative, management, control, supervisory or representative functions. In addition, the protection measures also apply to so-called "facilitators," colleagues, relatives or stable affections of the whistleblower.
To comply with the above, as of December 17, 2023, Bimotor has established a channel for reporting possible violations and irregularities within the company's business. Today, a platform is active, which, through IT modalities and cryptography tools, guarantees the confidentiality of the identity of the reporter, of the persons involved, as well as the content of the report and related documentation.
